Terms of Service and marketplace agreements.
These Terms of Service ("Terms") govern access to and use of the NodeRings website, marketplace, APIs, console, billing facilitation, and related platform tooling (the "Services"). By creating an account, accessing the Services, or clicking to agree, you accept these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
NodeRings is a dual-sided compute marketplace and control plane. Independent hosting providers ("Providers") may list capacity such as Compute Instances (virtual machines) and related add-ons. Buyers ("Clients" or "Customers") discover, purchase, and operate those offerings through NodeRings.
NodeRings facilitates discovery, ordering, multi-tenant access control, billing flows (typically via Stripe), and orchestration tooling (for example agents and order paths into a Provider's environment). NodeRings is not a hosting provider: it does not own or operate Provider datacenters, hypervisors, or the machines that run Customer workloads.
These Terms apply to everyone who uses the Services. Additional terms apply depending on how you participate:
If there is a conflict between these Terms and a role-specific marketplace agreement for that role's subject matter, the marketplace agreement controls for that subject matter.
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your user account and under organizations you own or administer (client or provider org types, as configured in the Services). Notify us promptly of suspected unauthorized access to your NodeRings login. We may suspend or terminate accounts that violate these Terms, pose risk, or remain unpaid where fees are due.
When a Client purchases an offering, NodeRings facilitates the order to the selected Provider. Compute Instances and other capacity run in the Provider's environment or datacenter. Providers set pricing and operational characteristics within platform rules. Listings, search, and rankings are not guarantees of availability, performance, or suitability.
Technical support for an offering is the Provider's responsibility unless we expressly state otherwise for a platform-only issue (account login, marketplace billing UI, etc.). NodeRings is not responsible for loss of data, downtime, security incidents, or misconfiguration on Provider infrastructure or in Customer workloads.
Marketplace purchases and Provider platform subscriptions are charged as shown in the Services, typically processed through Stripe or another designated processor. Fixed-price and usage/credit models may apply as described in product and billing documentation. You authorize applicable charges. Failed payment may lead to suspension of offerings or marketplace access. Taxes are your responsibility where required by law, except where NodeRings expressly collects and remits a tax as required.
You agree not to misuse the Services or offerings. That includes:
We may suspend traffic, listings, or accounts to protect the platform, Customers, or Providers, with or without notice.
The Services, branding, software, and documentation are owned by NodeRings or its licensors. You retain rights to content and workloads you submit, and you grant NodeRings a license to host and process them as needed to operate the Services. Feedback may be used by NodeRings without restriction or compensation. Open-source components (including Agents) remain subject to their own licenses in addition to these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, UPTIME, SECURITY, OR DATA INTEGRITY. NODERINGS DOES NOT WARRANT THAT ANY OFFERING WILL PROVISION OR REMAIN AVAILABLE, THAT ANY PROVIDER WILL PERFORM, OR THAT YOU WILL ACHIEVE ANY BUSINESS RESULT. NODERINGS OWES NO SERVICE LEVEL AGREEMENT FOR PROVIDER DELIVERY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODERINGS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR SERVICE INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. NODERINGS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO NODERINGS FOR PLATFORM OR MARKETPLACE SERVICE CHARGES (EXCLUDING AMOUNTS PASSED THROUGH TO PROVIDERS FOR OFFERINGS) IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
You will defend and indemnify NodeRings against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content or workloads, your breach of these Terms or law, or your dispute with a Provider or Customer.
We may update these Terms by posting a revised version in the Services. The "Last updated" date reflects the latest revision. Continued use after changes become effective constitutes acceptance. We may suspend or end access to the Services at any time for breach, risk, or operational reasons. Provisions that by nature should survive (including disclaimers, liability limits, and indemnity) survive termination.
These Terms are governed by the laws applicable to NodeRings's principal place of business, without regard to conflict-of-law rules, unless mandatory law requires otherwise. We are not liable for failures caused by events beyond our reasonable control, including Provider, Stripe, internet, or third-party outages. If a provision is unenforceable, the rest remains in effect. These Terms, together with any applicable marketplace agreement and policies we expressly incorporate (including our Cookie Notice), form the agreement between you and NodeRings regarding the Services.
