Terms of Service and marketplace agreements.
This Client Marketplace Agreement (the "Agreement") is a legally binding contract between you ("Client," "Customer," "you," or "your") and NodeRings ("NodeRings," "we," "us," or "our"). By creating an account, checking the acceptance box, using the Services as a buyer, or purchasing any Offering, you agree to this Agreement (Version 1.0.0, effective 19 July 2026) and to our Terms of Service. If you do not agree, do not register or buy.
NodeRings operates a marketplace and technology control plane. NodeRings helps you discover, compare, order, pay for, and operate Offerings through a unified console. When you buy, NodeRings facilitates the order to the selected Provider; the Provider delivers and runs the Offering in the Provider Environment.
NodeRings is not a hosting provider, does not operate Provider datacenters, does not own or control Provider hardware, and is not the supplier of compute capacity to you. Except for payment and platform tooling facilitation, nothing in this Agreement makes NodeRings a party to the delivery of Offerings, a partner or joint venturer of any Provider, or a fiduciary to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE." NODERINGS MAKES NO WARRANTIES OR GUARANTEES OF ANY KIND—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UPTIME, LATENCY, THROUGHPUT, SECURITY, DATA INTEGRITY, OR CONTINUOUS AVAILABILITY.
WITHOUT LIMITING THE FOREGOING, NODERINGS ACCEPTS NO RESPONSIBILITY WHATSOEVER FOR: (A) ANY OFFERING, INCLUDING COMPUTE INSTANCES AND ANY WORKLOAD RUNNING IN A PROVIDER ENVIRONMENT OR DATACENTER; (B) PROVIDER PERFORMANCE, OUTAGES, THROTTLING, OR MISREPRESENTATION; (C) LOSS, CORRUPTION, DISCLOSURE, OR UNAVAILABILITY OF YOUR DATA; (D) SECURITY INCIDENTS ON PROVIDER SYSTEMS OR YOUR INSTANCES; (E) NETWORK ABUSE, IP REPUTATION, OR BLACKLISTING; (F) SUPPORT QUALITY; OR (G) ANY BUSINESS OR OPERATIONAL OUTCOME YOU EXPECT FROM AN OFFERING. NODERINGS OWES YOU NO SERVICE LEVEL AGREEMENT AND NO SERVICE CREDITS FOR PROVIDER DELIVERY.
For any issue related to an Offering—including provisioning, power state, networking, performance, backups, snapshots, OS, applications, data recovery, or downtime—you must contact the Provider that supplies that Offering (including via marketplace tickets directed to that Provider, where available). NodeRings may operate a platform help channel for marketplace, account, or billing-facilitation questions, but NodeRings is not obligated to provide technical support for Provider infrastructure or your workloads, and is not a substitute for Provider support.
Compute Instances (VMs) and any other Offerings that run on Provider capacity exist in the Provider Environment. Your data, disks, snapshots, backups (if any), IP assignments on Provider networks, and configurations sit under Provider operational control. NodeRings may orchestrate orders, metadata, IPAM coordination, firewall rulesets, or console access paths as platform features, but that does not make NodeRings responsible for the underlying machines, storage media, power, cooling, physical security, or Provider-side software.
You are solely responsible for: securing access credentials; patching guest OS and applications; backups you require beyond what a Provider optionally offers; compliance of your workloads with law; and verifying that an Offering meets your needs before and after purchase.
NodeRings is not responsible for any loss of data, including loss caused by Provider failure, hardware failure, your actions, misconfiguration, termination, non-payment suspension, security incidents, or bugs. You must maintain your own backups of critical data. Optional backup or snapshot add-ons offered via a Provider do not create any warranty by NodeRings and remain subject to Provider limitations.
When you purchase an Offering, you select a Provider and plan. The Provider is responsible for delivering the Offering. Pricing, capacity, regions, and features may vary by Provider and may change. Listings, search results, rankings, and recommendations are not guarantees of quality, availability, or suitability. NodeRings may remove or change listings, and may notify you if a Provider is suspended or you should migrate away—without liability for migration effort or downtime.
Disputes about quality, specs, downtime, or refunds related to an Offering are between you and the Provider in the first instance. NodeRings may, at its sole option, assist with payment adjustments or marketplace mediation, but has no duty to resolve Provider–Client disputes and may decline to do so.
Payments are processed through Stripe and/or other processors NodeRings designates. For fixed-price Offerings, charges are collected through the marketplace payment flow and settled according to platform and Provider arrangements. For usage-based Offerings, NodeRings may operate a prepaid credit system funded to NodeRings's payment account; usage on a Provider may consume that credit. Credits, unused balances, and forfeiture rules are as published in the Services.
You authorize recurring charges where applicable. Failed payment may result in suspension or termination of Offerings by the platform and/or Provider. Refunds, if any, are handled under marketplace and Provider policies and are not guaranteed. You are responsible for applicable taxes where required. NodeRings does not guarantee payout timing to Providers or uninterrupted payment processing.
You must not use the Services or Offerings for illegal activity, spam, malware, unauthorized access, network abuse, sanctions evasion, child sexual abuse material, fraud, phishing, or other harmful conduct. You are responsible for traffic and content originating from your instances. Providers and NodeRings may suspend Offerings or accounts to stop abuse, with or without notice, without liability to you for resulting downtime or data loss.
You must provide accurate registration information and keep credentials secure. Activity under your account or client organization is your responsibility. Enable available security controls (including MFA when offered). You must promptly notify NodeRings of suspected account compromise related to the Services login (this does not make NodeRings responsible for Provider-side breaches).
Offerings may be suspended or terminated for non-payment, abuse, Agreement breach, Provider failure, or platform risk. If a Provider becomes delinquent, is delisted, or exits the marketplace, NodeRings may notify you to evacuate or migrate as soon as possible. NodeRings is not obligated to provide replacement capacity, migrate your workloads, or compensate you for Provider exit or failure.
NodeRings retains rights in the Services and branding. You retain rights in your content and workloads, and grant NodeRings a license to host and process data as needed to operate the Services. Feedback may be used by NodeRings freely without compensation.
NodeRings processes account and transactional data to operate the marketplace. Providers may process data on or about your workloads under their own practices. Review applicable privacy notices. You are responsible for lawful use of personal data you place in Offerings.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODERINGS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR SERVICE INTERRUPTION, REGARDLESS OF THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY. NODERINGS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO NODERINGS FOR MARKETPLACE PLATFORM FEES OR SERVICE CHARGES (EXCLUDING AMOUNTS PASSED THROUGH TO PROVIDERS FOR OFFERINGS) IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER. THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You shall defend, indemnify, and hold harmless NodeRings from claims, damages, and expenses (including reasonable attorneys' fees) arising from: your workloads or content; your breach of this Agreement or law; your dispute with a Provider; or abuse originating from your Offerings.
NodeRings may update this Agreement by publishing a new version. Continued use after the effective date constitutes acceptance. Acceptance may be electronic (checkbox, account creation, or continued use). NodeRings may retain records of accepted version, identity, and timestamps as evidence of agreement.
NodeRings is not liable for force majeure or third-party outages (including Providers, Stripe, internet, or DNS). This Agreement is governed by the laws applicable to NodeRings's principal place of business, without regard to conflict-of-law rules, unless mandatory law requires otherwise. Exclusive venue for disputes between you and NodeRings lies in the courts competent for that place of business, except that NodeRings may seek injunctive relief elsewhere. If any provision is unenforceable, the rest remains in effect. This Agreement, with the Terms of Service and incorporated policies, is the entire agreement regarding marketplace use as a Client. Providers are independent third parties—not third-party beneficiaries entitled to expand NodeRings's duties to you under this Agreement.

BY CREATING AN ACCOUNT OR ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ VERSION 1.0.0, UNDERSTAND IT, AND AGREE TO BE BOUND BY IT. YOU ACKNOWLEDGE THAT NODERINGS IS ONLY A MARKETPLACE FACILITATOR; THAT SUPPORT FOR OFFERINGS GOES TO HOSTING PROVIDERS; AND THAT NODERINGS IS NOT RESPONSIBLE FOR PROVIDER ENVIRONMENTS, COMPUTE INSTANCES, OR LOSS OF YOUR DATA.
